I. General Terms and Conditions
§1 Basic Provisions

The following terms and conditions apply to contracts concluded between you and us as the provider (Meet5 GmbH) via the website www.shop.meet5.de. Unless otherwise agreed, the inclusion of any of your own terms and conditions is hereby rejected.

A consumer for the purposes of the following provisions is any natural person who concludes a legal transaction for purposes that are predominantly not attributable to their commercial or independent professional activity. An entrepreneur is any natural or legal person or a legal partnership who acts in the exercise of their independent professional or commercial activity when concluding a legal transaction.
§2 Formation of the Contract

The subject matter of the contract is the sale of goods.

By listing the respective product on our website, we make you a binding offer to conclude a contract via the online shopping cart system under the terms specified in the product description.

The contract is concluded via the online shopping cart system as follows: Items intended for purchase are placed in the "shopping cart." You can access the "shopping cart" at any time via the navigation bar and make changes. After accessing the "checkout" page and entering personal data, payment, and shipping details, the order summary is displayed. If you use an instant payment system (e.g., PayPal / PayPal Express, Amazon Payments, Sofortüberweisung), you are either directed to the order summary page in our online shop or to the website of the instant payment provider. After finalizing the payment there and/or being redirected back to our online shop, the order summary is displayed. Before submitting the order via the button ("place binding order" or similar), you have the opportunity to review, modify, or cancel the order. By submitting the order, you legally accept the offer, and the contract is concluded.

Your inquiries for an offer are non-binding. We will provide you with a binding offer in text form (e.g., by email), which you can accept within 5 days (unless a different period is specified in the offer).

Order processing and transmission of all information required for the conclusion of the contract are carried out by email, partially automated. You must ensure that the email address provided is correct and capable of receiving emails, including not being blocked by spam filters.
§3 Special Provisions for Payment Methods

Payment via Klarna
In cooperation with Klarna Bank AB (publ), Sveavägen 46, 111 34 Stockholm, Sweden, we offer the following payment options. Payment is made directly to Klarna:-
Immediate transfer: Available in Germany and Austria. Your account is debited immediately after placing the order.

The use of invoice, installment, and/or direct debit requires a positive credit check. Accordingly, we transmit your data to Klarna for the purpose of address and credit checks. Only those payment methods that are permitted based on the credit check results are offered.

§4 Right of Retention, Reservation of Title

You may only exercise a right of retention if it relates to claims arising from the same contractual relationship.

The goods remain our property until full payment of the purchase price.

If you are an entrepreneur, the following applies in addition:

a) We reserve ownership until all claims arising from the ongoing business relationship are fully settled. Pledging or transferring the goods as security before transfer of ownership is not permitted.

b) You may resell the goods in the ordinary course of business. Claims from resale are assigned to us. We may collect these claims if payment is not made.

c) In case of combination or mixing of the reserved goods, we acquire co-ownership proportional to the invoice value.

d) We undertake to release securities at your request if the realizable value exceeds the secured claim by more than 10%.

§5 Warranty

Statutory warranty rights apply.

Consumers are asked to inspect goods upon delivery for completeness, obvious defects, and transport damage and report these promptly. Failure to do so does not affect statutory rights.

If you are an entrepreneur:

a) Only our specifications and the manufacturer’s product description are deemed agreed upon as the quality of the goods.

b) Warranty claims are fulfilled by repair or replacement. If repair fails after the second attempt, you may reduce the price or withdraw from the contract.

c) Warranty period is one year, with exceptions for liability for life, body, or health, fraudulent concealment, or legal recourse claims.

§6 Choice of Law, Place of Performance, Jurisdiction

German law applies. For consumers, this applies only insofar as mandatory protections of their country are not waived.

Place of performance and jurisdiction for business customers is our registered office.

UN Sales Convention (CISG) does not apply.
